We are BERFIN GRUP SRL and our registered office is located at Štefăneštii de Jos, Strada Linia de Centură, no. 50A, bl. A2, Sc. 1, Ap. 304, Ilfov County, Commercial Register no. J2023002495236, financial code 15455345.
1. Definitions. Purpose.
1.1. This document contains the terms and conditions regarding the sale of products sold by BERFIN GRUP on the website https://yakups.co .
1.2. Unless otherwise stated in these Terms and Conditions, the following terms shall have the following meanings:
" BERFIN GRUP Website/Site " refers to the https://yakups.co website and all its sections and subsections, where BERFIN GRUP displays the Products it offers for sale and Users/Buyers can select the Products they wish to purchase or pay using one of the payment methods accepted by BERFIN. The Site is also used to process and manage Orders for the delivery of Products and to record payments related to their sales;
" Buyer/Customer" - The legitimate entity that creates an account and places an order on the site.
" Seller" - BERFIN GRUP SRL, registered office Štefăneštii de Jos, Strada Linia de Centură, no. 50A, bl. A2, Sc. 1, Ap. 304, Ilfov County, Commercial Register no. J2023002495236, financial code 15455345 .
" Products " - Any item offered on the Site that will be provided by the Seller to the Buyer.
" Account " - This is the section of the site that allows the buyer to place an order and contains information about the buyer and their history on the site (orders, tax invoices, product warranties, etc.), consisting of an email address and password.
" Order" - An electronic document that serves as a form of communication between the Seller and the Buyer, in which the Seller agrees to deliver the Products and the Buyer agrees to receive those Products and pay for them.
" A contract " is an order confirmed by the Seller, whereby the Seller agrees to sell and deliver the Products, and the Buyer agrees to purchase, receive, and pay for these Products. A distance selling contract is concluded between the Seller and the Buyer without requiring their physical presence at the same time.
" Payment " means the payment process carried out by the Buyer or the collection of a sum of money by the Seller as a result of the Buyer purchasing one or more Products.
" Technical Specifications " - All technical specifications and/or descriptions of the products specified in the order.
1.3. This document sets forth the Terms and Conditions that govern the relationship between BERFIN GRUP and each Buyer who uses the Site to place an order, during or after the ordering process.
2. General provisions
Any visitor or user of the site https://yakups.co Before visiting or using the pages of the Site, you are required to carefully read and review the Terms of Use and Privacy Policy. If you do not agree with its terms, you are required not to use our Site. Otherwise, you must clearly and unequivocally understand the terms and conditions of use. It is assumed that the user unconditionally accepts, considers, and approves the content of the Privacy Policy. The Terms and Conditions of Use, detailed below, apply to all content on the Site.
We reserve the right to modify, delete or add any information, suspend or terminate the Site or any part thereof, at any time and without prior notice, and the Site user accepts this provision.
3. Intellectual and industrial property rights
All content on this site, including texts, news, graphics, photographs, drawings, images, symbols, trademarks, services offered, and files of all kinds (including but not limited to), is protected by intellectual property rights under national, European, and international intellectual property provisions, except for rights expressly granted to third parties. Therefore, it is strictly prohibited to use, reproduce, republish, copy, store, sell, transmit, distribute, broadcast, implement, download, translate, or modify in any way the content of our site, in whole or in part, without our prior express written permission.
In exceptional circumstances, individual storage and copying of parts of the content on a personal computer is permitted, strictly for personal use, without any intention of commercial or other use; however, this is only possible on the condition that the source is always indicated and in no way implies the transfer of intellectual property rights.
4. How does it work?
Ordering on the site can only be initiated by customers who have created an account on the site. This account can be created by a legal entity that must provide us with their Buyer Registration Certificate before placing their first order.
BERFIN GRUP reserves the right to refuse account creation if its operating procedures and commercial policies so require.
By registering on the site and opening an account, the Customer agrees to the Personal Data Policy published on the site and to these Terms and Conditions.
The email address and phone number provided by the customer when creating the account cannot be assigned to another previously created account. Providing an email address, phone number, or other contact information that does not belong to the customer is not acceptable.
The customer is responsible for maintaining the confidentiality of their authentication data; sharing this data with others is prohibited. Account passwords must be kept confidential and changed in case of unauthorized use or suspicion. The customer is obligated to immediately report any unauthorized use of their account to BERFIN GRUP and to change their authentication data if they have evidence of use by third parties.
Any interaction between the Customer and BERFIN GRUP through the Customer's account is attributable to the Customer. This applies even if third parties have carried out transactions through the account. Damages that may arise if third parties gain access to the Customer's account as a result of the Customer's failure to fulfill their obligations.
The customer has the right to close their account without giving any reason by using the "Delete customer account" function.
BERFIN GRUP reserves the right to restrict a Customer's ability to place orders and/or access certain accepted payment methods if, for justifiable reasons, BERFIN GRUP believes that the Customer's behavior or activities on the Site may in any way harm BERFIN GRUP. In any of these cases, the Customer may contact BERFIN GRUP to learn about the reasons leading to the implementation of such measures.
5. How can I place an order?>
A buyer can place an order on the site by adding their desired products to their shopping cart and then completing the payment using one of the payment methods explicitly specified by the seller. Once a product is added to the shopping cart, it becomes available for purchase, provided it is in stock. Adding a product to the shopping cart does not automatically mean the order is saved or the product is reserved if the order is not completed.
The order will consist of the following documents, in order of importance:
- Order and special conditions;
- Buyer's specifications (where applicable);
- Terms and conditions.
By placing an electronic order through the Site, the Buyer accepts the remote communication method (email) used by the Seller for conducting transactions.
BERFIN GRUP reserves the right to verify orders (before confirmation) by contacting the customer via telephone and/or email.
To place an order, simply confirm your registration on the BERFIN GRUP platform. Acceptance of your order, physical product availability, and delivery conditions will be confirmed via email by BERFIN GRUP representatives.
If the seller confirms the order, this means that the terms of the order have been fully accepted. The seller's acceptance of the order is considered complete upon the sending of an electronic confirmation (email) from the buyer; confirmation of delivery by the buyer is not required. The seller will never consider an unconfirmed order as a contractually valid order.
By completing the order, the Buyer acknowledges that all data provided by them for the purpose of the purchase is accurate, complete, and truthful as of the date the order is placed.
By completing the order, the Buyer acknowledges that the Seller may contact the Buyer using any method available/accepted by the Seller should contacting the Buyer be necessary in any situation.
The seller may cancel an order placed by the buyer, provided that the buyer is notified in advance and neither party incurs any obligation or claim for damages from the other, in the following circumstances:
- In the case of online payments, the recipient's card is not approved for processing by the bank;
- In the case of online payments, the transaction is canceled by the card processor approved by the merchant;
- The data provided by the buyer on the Site is incomplete and/or inaccurate;
- A series of failed deliveries.
In certain circumstances and for justifiable reasons, the Seller reserves the right to change the quantity of products in an order. In the event of a change in the quantity of products in an order, the Seller will notify the customer via the email address or phone number provided when placing the order and will refund the amount paid for the unfulfilled order within a maximum of 14 (fourteen) days.
If an item ordered by the Buyer cannot be delivered by the Seller, the Seller will notify the Customer/Buyer of this situation and will refund the price of the item to the Buyer's account within a maximum of 14 (fourteen) days from the date the Seller becomes aware of this situation.
Orders will be processed within the timeframe specified in the seller's announcement on their website.
By completing the order, the customer agrees to pay for the products and delivery costs; these amounts will be communicated to the customer before confirming the order.
The seller may not disclose the product price or certain product features. We reserve the right to cancel the order if the information is incorrectly entered or displayed in the database and delivery has not yet been made.
The contract between the Seller and the Buyer is deemed concluded when the Buyer receives notification from the Seller via email and/or SMS that the order has been shipped.
6. Price and payment method
The price and payment method are specified in the order. The seller will issue an invoice to the buyer for the delivered goods; the buyer's responsibility is to provide all necessary information for the invoice to be issued in accordance with applicable legislation.
Product prices displayed on the website include VAT in accordance with current legislation.
Payment for products is made via credit/debit card when placing an online order, or via a payment instruction based on the invoice issued by the seller.
When paying by card, please keep the following information in mind:
We only accept cards that have the symbol indicated in the payment section.
For your security, all transactions are encrypted.
Your card may be rejected for payment for the following reasons:
i) The card may have expired (Check that the card's expiration date has not passed);
ii) The card's maximum limit may have been reached (contact your bank to confirm that the amount you can spend with your card has not been exceeded);
iii) Incorrect information may have been entered (make sure you have filled in all required fields correctly).
In online payments, the seller is not and cannot be held responsible for any additional costs incurred by the buyer; these costs include currency conversion fees applied by the card-issuing bank, as well as charges arising if the currency used is different from RON. The buyer is solely responsible for these costs.
The Customer may keep a record of invoices issued by the Seller in their Account and may save and archive them at any time and in any way they wish. By submitting the order, the Buyer agrees to receive invoices electronically from the Seller, either by attaching them to their Account or by sending them via email to the email address specified in their Account.
7. Delivery
The products are delivered by courier (door-to-door system) to the address specified by the customer in the order.
Estimated delivery dates may vary depending on the product and will be confirmed by a consultant via phone and/or email as soon as possible after placing your order.
Products are delivered by courier only within Romania, regardless of the delivery method chosen by the customer and subject to available stock.
In the event that the delivery and/or commissioning deadlines for the order cannot be met, the Seller is obliged to inform the Buyer of the estimated delivery completion time.
The seller reserves the right to change or add new delivery methods for orders.
Delivery costs are entirely the responsibility of the Customer and are stated separately in the Order. BERFIN GRUP may decide to cover all or part of the delivery costs (under its own specific commercial conditions); in this case, these matters will be announced on the Site.
Unless otherwise agreed upon by the Seller and the Buyer, the Seller shall be deemed to be relieved of all risks and responsibilities relating to the goods upon delivery of the goods to the local shipping company with which the Seller cooperates.
The seller is suitable for the products. This will ensure that the items are packaged properly and that the accompanying documents are delivered.
8. Right of withdrawal and return
The buyer has the right to withdraw from the contract or return the product in accordance with the relevant legal provisions.
9. Guarantees
All products sold by the seller are covered by warranty conditions in accordance with applicable legislation and the manufacturers' trade policies.
Depending on the product specifications, you may also benefit from a trade warranty offered by the importer/manufacturer. Information regarding the trade warranty can be found on each product's presentation page, as it varies from product to product depending on the conditions specified by the importer/manufacturer.
The company providing the commercial warranty is the one listed on the product's warranty certificate.
10. Expansion of the seller's responsibilities
The information provided on the Seller's websites is for informational purposes only and may be changed by the Seller without prior notice. Furthermore, due to space limitations and the consistency of the information structure, Product descriptions may be incomplete; however, the Seller strives to provide the most relevant information to ensure the Product can be used within the parameters for which it was purchased.
11. Responsibility
BERFIN GRUP is not liable for any damages caused to the Buyer or any third party arising from the Seller's failure to fulfill its obligations under the Order or from the misuse of the Products sold on the Site.
BERFIN GRUP is not liable under any circumstances for any direct or indirect damages or direct or indirect loss of profits arising from the use of or interruption of the services offered by the Site.
BERFIN GRUP is in no way responsible for any damage caused by viruses or other malicious software that may infect your computer or other parts of your property during access to and use of the Site. BERFIN GRUP reserves the right to discontinue the Site at any time, without prior notice and without any liability.
12. Links
BERFIN GRUP may link to other sites via links, but assumes no responsibility for the content and services, terms of governance, and protection of personal data of these sites, and does not guarantee their accessibility. Visitors/users of linked sites are solely responsible for any problems that may arise from visiting these sites and their content and/or services.
References to the BERFIN GRUP website may only be made in a fair and lawful manner, without implying any affiliation, recommendation, or endorsement; furthermore, our name, logos, and/or trademarks displayed on this site may not be used without our prior, express, written permission, or in a way that would damage our reputation or provide an unfair advantage.
13. Notification of changes
BERFIN GRUP reserves the right to modify the above terms and conditions within the current and/or future legal framework. No changes to these Terms and Conditions shall be deemed valid or part of this document unless they are prepared in writing and incorporated herein.
If the Terms and Conditions presented herein change, BERFIN GRUP will inform visitors/customers through announcements made on the Site. It will provide information.
14. Force majeure
Neither party shall be held liable for its failure to perform its contractual obligations, in whole or in part, on time and/or as required, if this failure is due to a force majeure event as defined in the Romanian Civil Code.
If the force majeure event does not cease within 15 (fifteen) days from the date of its occurrence, either party shall have the right to notify the other party of the complete termination of the Agreement, and neither party shall be entitled to claim compensation from the other.
15. Applicable law
These Terms and Conditions are governed by Romanian legislation and the provisions of international law, as well as the Directives and Regulations of European law, and shall be interpreted in light of the principles of good faith, business ethics, and the social and economic purpose of law.
If any provision of the contract is found to be unlawful and therefore invalid or voidable, that provision shall be terminated; this shall in no way affect the validity of the other terms and/or conditions specified in the contract.
BERFIN GROUP and its clients will endeavor to resolve any disputes or misunderstandings that may arise in a friendly manner.
The Romanian courts shall have jurisdiction to resolve any disputes, procedural matters, misunderstandings, or claims arising from contractual or other relationships between you or the parties.
16. Fraud
Creating multiple accounts using automatically generated email addresses that expire after a predetermined period, or engaging in any fraudulent activity intended to benefit from promotions or offers, or to disrupt the smooth operation of campaigns, is prohibited and will be considered an attempt at fraud. BERFIN GRUP reserves the right to suspend and withdraw accounts created in this manner , to benefit from ongoing promotions or offers, and to cancel the account without prior notice, notification, other formalities, or compensation.
Any attempt at fraud or any act of fraud (for example, but not limited to: accessing BERFIN GRUP customer data, altering the site's content, attempting to affect the performance of BERFIN GRUP servers, redirecting the content of deliveries to third parties, etc.) will be punishable under criminal law.
