STORE AGREEMENT

1. PARTIES

1.1. This Agreement is between Yakups Tekstil Turizm Sanayi ve Ticaret Limited Şirketi (Yakup's.co), whose registered office is located at "Oruçreis Mahallesi Vadi Caddesi Giyimkent B70 Blok No:64 Esenler / İSTANBUL", and ………………………………………………………………………………..

1.2. Yakup's.co and the Seller will be referred to individually as "Party" and collectively as "Parties".


2. SUBJECT AND SCOPE OF THE AGREEMENT

2.1. Yakup's.co e-commerce platform operates mobile applications and a mobile website that facilitate interaction between producers and sellers in Türkiye and consumers/buyers in Romania, speeding up processes, reducing costs, and creating a virtual shopping environment. Yakup's.co is not a seller of products or services and operates in accordance with Law No. 2017/2023.Law No. 6563 regarding the role of electronic commerce as an intermediary service provider.

2.2. Under this agreement, members from Türkiye registered on the Yakup's.co platform, managed by Yakups Tekstil Turizm Sanayi ve Ticaret Ltd. Şti., can open virtual stores and sell products in exchange for a commission paid to Yakup's.co for providing the platform's services.

2.3. The purpose of this agreement is to define the conditions necessary for the Seller to utilize the services on the Yakup's.co web platform and to define the rights and obligations of the parties.

2.4. This agreement only governs the relationship between the Parties and the services provided by Yakup's.co to Sellers. The relationship between Sellers and Buyers is not covered by this agreement; Yakup's.co only grants the right to open a virtual store and publish related advertisements. The Seller is directly liable to the Buyers under Turkish law.


3. DEFINITIONS

  • Seller : A natural or legal person who registers on the Yakup's.co platform and posts advertisements for the sale of products/services.
  • Buyer : A user who registers on the site and purchases products/services from sellers.
  • User : Any member accessing the site.
  • Service : Applications, publications, advertisements, or other functions offered by Yakup's.co, either free or for a fee.
  • Virtual Store : An online space reserved for sellers to publish their products/services, according to Yakup.co rules.
  • Seller Office : A virtual page accessed with a username and password; here, seller information is managed and sales are tracked.
  • Website : Yakup's.co website, mobile applications and mobile website managed by Yakups Tekstil Turizm Sanayi ve Ticaret Ltd. Şti.

VARIOUS PROVISIONS

  • Evidence Agreement : The seller acknowledges that Yakup's.co's electronic archives and records constitute conclusive evidence pursuant to Article 193 of the Code of Civil Procedure.
  • Relationship between the Parties : This agreement shall in no way constitute an agency, dealership, partnership, or joint venture.
  • Integrity of the Agreement : The annexes are an integral part of the agreement and supersede all prior understandings.
  • Severability : If one clause is invalid, the rest of the contract remains in effect.
  • Transfer : The seller may not transfer its rights/obligations without the written permission of Yakup's.co.
  • Waiver : The failure to exercise a right does not constitute a permanent waiver.

4. SELLER'S RIGHTS AND OBLIGATIONS

4.1. Seller To obtain this status, the individual must sign the contract, provide all required documents, and complete the online form with accurate data. The Seller is solely responsible for any consequences arising from providing false information. The authorized representatives listed on the form legally represent the Seller.

4.2. The seller must inform Yakup's.co of any changes to the provided information within 15 days and update the account.

4.3. The seller will create a username and password and will be responsible for their security, as well as for all transactions carried out under the account.

4.4. The seller undertakes to cooperate technically with Yakup's.co and to provide the necessary documents for the publication of advertisements.

4.5. In accordance with the Data Protection Law No. 6698, the Seller is obliged to implement appropriate technical and organizational measures for the protection of personal data and is responsible for the legal and accurate content of advertisements. Using the site to create a database with other users' data is prohibited; in case of violation, Article 7.5 applies. Information that infringes intellectual property rights will give rise to liability for the Seller and Yakup's.co.

4.6. The seller owns the rights to the uploaded content and grants Yakup's.co unlimited, free use of it for advertising or promotional purposes.

4.7. The Seller shall not encourage Buyers to conduct transactions outside the platform and shall not manipulate Yakup's.co's promotions.

4.8. Yakup's.co may, at its sole discretion, provide photo studio services to the Seller, and the Seller undertakes to provide the requested documents.

4.9. The Seller uses the Yakup's.co payment system: the price is transferred to an escrow account, and after the Buyer confirms delivery, the money is transferred to the Seller's account.


5. RIGHTS AND OBLIGATIONS OF YAKUP'S.CO

5.1. Yakup's.co may securely use the data provided during registration and throughout the collaboration period, with the seller's consent, solely for the purposes of service delivery, statistical evaluation, marketing, and reliability checks.

5.2. Yakup's.co, as an intermediary under the law, is not obligated to verify uploaded content, but may suspend or remove it at any time. It also complies with decisions of competent authorities and courts.

5.3. Yakup's.co reserves the right to immediately remove illegal content and bears no financial responsibility towards the Seller.


6. FINANCIAL ASPECTS

6.1. The seller is entitled to receive payment only if they fulfill their contractual obligations and the services provided are used.

6.2. The seller shall issue an invoice or receipt for the products/services in accordance with VAT and Turkish tax legislation.

6.3. Yakup's.co reserves the right to deduct or recover amounts from the seller's account if it suffers damages or a claim for damages is made. The seller is responsible for such damages.


7. DURATION, TERMINATION AND COMPENSATION OF THE AGREEMENT

7.1. This agreement enters into force with an electronic signature and is valid indefinitely.

7.2. Either party may terminate this contract at any time by written notice, without giving any reason or paying compensation. The Seller shall pay for services used up to the date of termination, and its responsibilities towards the Buyers shall remain valid.

7.3. In case of bankruptcy, insolvency, incapacity, or termination, the contract shall automatically terminate.

7.4. Yakup's.co reserves the right to suspend its services without being liable for any breaches. From Seller to Buyers.

7.5. In the event of a breach of contract, the seller shall immediately and fully compensate for all losses, costs, damages, or claims, regardless of whether the contract is terminated or not.


8. CHANGES AND NOTIFICATIONS

8.1. The contract becomes binding on the Seller after it has been electronically signed. Yakup's.co may unilaterally change the terms of the contract, including the addition of expensive services.

8.2. Changes will be notified by (i) e-mail, (ii) notices at the Seller's Office or (iii) publication on the website. New clauses enter into force on the date of publication.

8.3. Yakup's.co is not obligated to inform the seller about legal changes. Service and campaign details are subject to change without prior notice and are binding once published. The seller is required to comply with the changes.

8.4. The seller is obliged to comply with campaigns and their terms and conditions without prior notice.

8.5. Communication will be via email or registered mail. The seller is responsible for regularly checking their email account. Address changes must be notified in writing; notifications sent to existing addresses remain valid.

8.6. The same rules apply in case of termination of the contract or notice of default.


9. PRIVACY

9.1. All commercial and financial information, patents, know-how, trade secrets, and customer data obtained during the collaboration will be treated as "Confidential Information" for the duration of the contract and for three years after its termination.

9.2. The parties undertake to keep this information confidential and not to disclose it to third parties except as permitted by law or written agreement. Yakup's.co may transfer information between users solely for this limited purpose, for the resolution of disputes.


10. INTELLECTUAL PROPERTY RIGHTS

10.1. The Yakup's.co brand and logo, the design of the application and website, the domain name, slogan, and content are the property of Yakup's.co. The seller may not use them without the written permission of Yakup's.co.

10.2. The seller guarantees that they will not infringe the intellectual property rights of Yakup's.co or third parties. In case of infringement, Yakup's.co may terminate the contract and apply clause 10.2.7.5.

10.3. Yakup's.co monitors compliance with intellectual property rights and may request the removal of content in the event of a complaint and provide the Seller's information to the complainant. This does not mean that Yakup's.co has decision-making authority, it only facilitates an amicable resolution.


11. FORCE MAJEURE

11.1. In the event of extraordinary events (war, natural disasters, cyberattacks, etc.), the affected party shall notify the other party immediately in writing, including supporting evidence, and shall also include an estimate of the timeframe for this notification.

11.2. If notification is given in accordance with this article, the Parties shall be exempt from liability for non-performance and shall enjoy an extension of time equal to the duration of the event.


12. APPLICABLE LAW AND COMPLAINTS

12.1. This agreement is governed exclusively by the laws of Türkiye.

12.2. All disputes shall be resolved by the courts and enforcement officers of Istanbul, with exclusive jurisdiction.


This Agreement, consisting of 12 clauses, has been fully read and approved by the Seller with an electronic signature and enters into force on the date of its entry into force. applicable.
