MEMBERSHIP AGREEMENT
CONTRACTING PARTIES
1.1.
This membership agreement (“ Membership Agreement ”) is concluded between BERFIN GRUP SRL, a company registered in the Commercial Register under registration number J2023002495236 , tax code 15455345, located at Ștefăneștii de Jos, Str. Linia de Centură no. 50A, building A2, sc. 1, ap. 304, Ilfov County, Romania, and which is the administrator of the Yakups.co platform (hereinafter referred to as “Yakups.co” ).
Any natural or legal person who accepts this agreement electronically will hereinafter be referred to as "Member" .
1.2.
Yakups.co and the Member will be referred to individually as "Party" and together as "Parties" .
DEFINITIONS
Cookie Policy – This document on the Yakups.co website explains the use of cookies for the website's operation, improving user experience, and providing personalized content.
Privacy and Data Protection Policy – This document, found on the Yakups.co website, regulates the processing of members' personal data.
"My Account" page – The personal section that a member can access with their username and password.
Services – Services and applications offered by Yakups.co through the website.
Virtual Store – an online space where sellers post advertisements for their products and/or services.
Seller – a natural or legal person member who sells products and/or services on the platform.
Buyer – a member who purchases products and/or services through the platform.
Visitor – someone who accesses the site without registering.
Member – a natural or legal person registered on the site.
SCOPE AND PURPOSE OF THE AGREEMENT
3.1.
Yakups.co manages its online platform and operates as an intermediary service provider in accordance with applicable trade legislation.
3.2.
By this agreement, the Member agrees to register on the site and use the services. They request to benefit from and, when necessary, buy or sell products and/or services.
3.3.
The purpose of this Agreement is to define the terms of use of the platform and to define the rights and obligations of the Parties. Acceptance of this Agreement implies acceptance of all current and future rules and policies of the site.
3.4.
This Agreement governs only the relationship between Yakups.co and the Member. Relationships between buyers and sellers are not subject to this Agreement; Yakups.co is not a party to any agreements concluded between them.
RIGHTS AND OBLIGATIONS OF THE PARTIES
4.1.
Membership implies acceptance of this agreement and the provision of accurate and up-to-date information. Members are responsible for any damages resulting from providing inaccurate data.
4.2.
In the event of a dispute regarding membership rights, Yakups.co may consider the account holder as the person who made the last payment through that account.
4.3.
Yakups.co is not the seller of any products or services displayed on the platform and is not responsible for content published by third parties acting as intermediaries and hosting service providers.
4.4.
Yakups.co is not a party to distance selling contracts between buyers and sellers. The seller is solely responsible for products, delivery, invoicing, warranties, and after-sales service.
4.5.
The member agrees to use the site in accordance with the law, this agreement, and ethical guidelines. They are solely responsible for all legal consequences arising from their actions.
4.6.
Yakups.co may transmit personal data to the relevant authorities in accordance with the law and data protection regulations.
4.7.
Data may be shared with parties involved in a lawsuit or for the purpose of preventing fraud, in accordance with relevant legislation.
4.8.
The security of identity verification data is entirely the Member's responsibility, and the Member is responsible for all transactions conducted through their account.
4.9.
Illegal or abusive use of the site, including manipulation of systems, use of automated programs, unauthorized data collection, or fraudulent exploitation of offers, is prohibited.
4.10.
Members are obligated to refrain from causing technical damage to the platform and to use appropriate IT protection measures.
TERMINATION OF THE AGREEMENT

Either party may unilaterally terminate the contract without compensation, in accordance with the obligations already undertaken.
5.2.
Yakups.co may suspend or terminate a Member's account in the event of a breach of this agreement.
PRIVACY AND DATA PROTECTION
6.1.
Yakups.co processes personal data in accordance with GDPR, Privacy Policy and Cookie Policy.
6.2.
Data is used for contract execution, platform management, commercial communication, statistical analysis, and other purposes permitted by law.
INTELLECTUAL PROPERTY RIGHTS
All rights to the brand, logo, design, and content of the Yakups.co platform belong exclusively to Yakups.co. Unauthorized use is prohibited.
MODIFICATION OF THE AGREEMENT
Yakups.co may unilaterally modify this agreement and related policies by posting them on the site. Changes will take effect from the date of publication.
FORCE MAJEURE
Force majeure events exempt Yakups.co from liability for the duration of their occurrence.
FINAL PROVISIONS
10.1.
In the event of a lawsuit, Yakups.co's electronic records will constitute evidence.
10.2.
The applicable law is Romanian law, and disputes will be resolved by the competent courts in Romania.
10.3.
Communication is conducted through the contact information provided by the Member.
10.4.
This Agreement constitutes the entire agreement between the Parties.
10.5.
Members may not transfer their rights or obligations without the written permission of Yakups.co.
10.6.
Failure to exercise a right does not constitute a waiver of that right.
This Membership Agreement has been read, understood, and accepted by the Member electronically, and shall enter into force from the date of acceptance.
